1. Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Tatlacas (Pty) Ltd, trading as Tradekit ("Tradekit", "we", "us", or "our"), governing your access to and use of the Tradekit platform, including our web dashboard, mobile application, API, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you:

  • Have read, understood, and agree to be bound by these Terms.
  • Are at least 18 years of age or the legal age of majority in your jurisdiction.
  • Have the authority to enter into these Terms on behalf of yourself or the business entity you represent.

If you do not agree to these Terms, you must not use the Service.

2. Definitions

The following definitions apply throughout these Terms:

  • "Service" — the Tradekit platform, including the web dashboard, mobile application, API, and all related tools, features, and functionality.
  • "Company" — a trade business registered on Tradekit by a business owner. A Company is the primary billing entity and organisational unit within the Service.
  • "Member" — a user who has been invited to and accepted membership in a Company. Members may have different roles: owner, manager, or technician.
  • "Customer" — a client of a Company whose contact details and service history are managed within Tradekit. Customers are not direct users of the Service.
  • "Content" — any data, text, images, files, documents, or other materials that you upload, submit, or transmit through the Service, including customer records, job details, quotes, invoices, and messages.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration and keep your account information up to date.
  • Maintain only one account per person. Duplicate accounts may be suspended or terminated.
  • Keep your login credentials confidential and not share them with any third party. You are responsible for all activity that occurs under your account.
  • Notify us immediately at hello@tradekit.co.za if you suspect any unauthorised access to or use of your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription Plans & Pricing

Tradekit offers three subscription plans, each billed monthly in South African Rand (ZAR):

  • Solo — R299/month: 1 team member, 20 jobs per month, 200 WhatsApp messages per month.
  • Team — R499/month: Up to 5 team members, unlimited jobs, 500 WhatsApp messages per month.
  • Pro — R799/month: Up to 15 team members, unlimited jobs, 1 500 WhatsApp messages per month.

Free Trial

All plans include a 14-day free trial. No credit card is required to start a trial, and nothing is charged during it. Your trial runs for 14 days from the day you start it.

You may switch between Solo, Team and Pro during the trial as often as you like. Switching the plan you are trying is free, takes effect immediately, and does not change the day your trial ends.

You may also set up your paid plan from inside the trial, in Settings → Billing. Nothing is charged on the day you do it — the amount taken at the checkout is R0.00. You keep the rest of your free days, and the first payment is taken on the day your trial ends, or on the 1st of the following month if your trial ends on the 29th, 30th or 31st. It then recurs monthly on that date. The billing page shows you the exact amount and date before you confirm. Cancel before that date and you are not charged at all.

Once your payment is set up you cannot switch plans until the first payment has been taken, because your card is already instructed for a specific amount. Cancel first — which costs nothing, as nothing has been charged — and you can then set up a different plan.

If your trial ends without a paid plan being set up, we may end your access to the Service. Your data is kept and you can start a plan at any time to get back in.

The price shown for your plan is the total you pay each month, with nothing added at checkout. The billing record we issue for it is an ordinary invoice. This has no effect on what you charge your own customers on the quotes and invoices you create in Tradekit.

Price changes

We may change subscription prices. If we do, we will give you at least thirty (30) days' notice by email before the new price applies to you, and you may cancel before it takes effect.

5. Billing & Refunds

This section explains when we charge you, what happens when you change or cancel a plan, and our refund policy. Please read it before you pay.

Billed monthly in advance

Subscriptions are billed monthly in advance. Each payment pays for the month of access that follows it — you are paying for a period, not for how much you use the Service during that period.

Card subscriptions are processed by PayFast as a recurring monthly payment. By subscribing, you authorise us to charge your chosen payment method every month until that recurring payment is stopped (see Cancelling below). Keeping that payment method valid and funded is your responsibility.

If a payment fails, your subscription is marked past due and you keep access for 7 days from the first failed payment. If payment has not succeeded by the end of those 7 days, your access stops — even if fewer than three attempts have been made by then. After three failed payment attempts, the subscription is suspended until payment is made. Neither a lapsed grace period nor a suspension refunds or extends any period you have already paid for.

No refunds

We do not give refunds. Once a subscription payment has been made, it is not refundable — in whole or in part. In particular, we do not refund:

  • time remaining after you cancel, or after you close your account;
  • months in which you used the Service little or not at all;
  • the price difference when you move to a cheaper plan part-way through a period;
  • time remaining when we suspend or terminate your account because you breached these Terms;
  • time lost to downtime, third-party outages (including WhatsApp, PayFast and Yoco), or the force majeure events listed in these Terms.

We also do not pro-rate. Subscription fees are charged and earned for whole periods, not by the day.

The 14-day free trial is what protects you here: it needs no card, and nothing is charged until you have agreed a paid plan with us and made a payment. Please use the trial to decide whether Tradekit is right for your business.

Correcting our own recording mistake is not a refund. If we record a payment against the wrong company or the wrong period, we will reverse that record and capture it correctly. That is a correction, and it does not create a right to a refund.

Nothing in this section limits any right you have under South African law — including the Consumer Protection Act 68 of 2008 — that cannot be excluded by agreement.

Cancelling

You may cancel at any time from Settings → Billing, or by emailing hello@tradekit.co.za. Cancelling is not an immediate shutdown — you keep what you have paid for:

  • We record your cancellation against the end of the period you have already paid for. You keep access for the rest of that period, and you are not refunded for it.
  • Cancelling in Settings → Billing also stops your recurring card payment. If you pay by recurring card subscription through PayFast, we instruct PayFast to cancel the debit order as part of the cancellation — you do not need to email us as well. If you cancel before the first payment of a plan you set up during a free trial, nothing is ever taken.
  • A debit taken after we have confirmed your cancellation is our mistake, not a payment for the Service. Tell us and we will return it — the no-refund policy above does not apply to it.
  • If no paid period is running — for example, you cancel during the free trial — the cancellation takes effect immediately.

Upgrading and downgrading

  • Upgrades take effect immediately.You get the higher plan's features and limits straight away, and a new monthly billing period starts on the day you upgrade. We do not credit or refund the unused part of the period you were on. The amount you are charged does not change by itself: your existing payment arrangement continues at the old amount until we set up the new one with you, and we will contact you to arrange that.
  • Downgrades are not automatic. To move to a cheaper plan, email us at hello@tradekit.co.za. Selecting a lower plan in Settings → Billing records your request on your account; it does not change your plan and it does not change what you are charged. You keep your current plan's features until we action the change, and we will tell you when the change and the lower price take effect. There is no refund of the difference for any period you have already paid for.
  • Once a downgrade takes effect, the lower plan's limits apply. If you are already above them, you will not be able to add more — for example, you cannot invite another team member while your team is at or above the new plan's cap.

Paying by EFT, cash or offline card

We may agree to accept payment outside the platform — an EFT, cash, or a card payment taken on a physical machine — instead of a recurring card subscription. Where we do:

  • The same terms apply: the same prices, the same monthly-in-advance basis, and the same no-refund policy.
  • Access is activated for the period the payment covers once we have received the money and recorded it. Please allow time for funds to clear, and always use the payment reference we give you — that reference is how we match your payment to your account.
  • There is no automatic retry on an offline arrangement. Access ends at the end of the paid period unless we have received and recorded your next payment, so please pay before the period ends.
  • Any free or discounted access we grant is at our discretion, applies only to the period we state, and creates no ongoing entitlement and no refundable credit.

Your billing records

Your billing history — payments received, plan changes, cancellations and trial events — is available in Settings → Billing. It is a record of what happened on your account, not a set of downloadable invoice documents. If a record looks wrong or is missing, contact us at hello@tradekit.co.za and we will check it.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service in violation of any applicable South African law or regulation, including the Protection of Personal Information Act (POPIA), the Consumer Protection Act, and the Electronic Communications and Transactions Act.
  • Use the Service for any illegal, fraudulent, or harmful activity.
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service.
  • Attempt to gain unauthorised access to any part of the Service, its systems, or networks.
  • Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure.
  • Send spam, unsolicited messages, or bulk messages via the WhatsApp integration. All messages must be directed to customers with whom you have an existing business relationship or who have consented to receive communications from you.
  • Violate Meta's WhatsApp Business Policy or WhatsApp Commerce Policy when using the WhatsApp integration features of the Service.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated this section.

7. WhatsApp Integration

The Service includes integration with WhatsApp via the Meta WhatsApp Business API. By using this feature, you acknowledge and agree to the following:

  • Messages sent and received through Tradekit are subject to Meta's terms of service, privacy policy, and WhatsApp Business policies.
  • Each subscription plan includes a monthly WhatsApp message quota: 200 messages (Solo), 500 messages (Team), and 1 500 messages (Pro). Messages exceeding your quota will not be sent until the next billing cycle or until you upgrade your plan.
  • Tradekit is not responsible for the availability, performance, or reliability of WhatsApp or the Meta WhatsApp Business API. Service interruptions or changes to WhatsApp's platform may affect your ability to send or receive messages.
  • Obtaining proper consent from your customers before sending them WhatsApp messages through Tradekit is your responsibility. You must comply with POPIA's consent requirements and Meta's opt-in policies.

8. Data Ownership & Intellectual Property

Your Data

You retain full ownership of all Content that you upload, create, or store through the Service. Tradekit does not claim any ownership rights over your data. By using the Service, you grant Tradekit a limited, non-exclusive, worldwide licence to process, store, and transmit your Content solely for the purpose of providing and improving the Service.

Data Export

You may request an export of your data at any time by contacting us at hello@tradekit.co.za. We will provide your data in a structured, commonly used, and machine-readable format within a reasonable timeframe.

Tradekit's Intellectual Property

The Service, including its design, user interface, source code, algorithms, documentation, branding, logos, and trademarks, is the intellectual property of Tatlacas (Pty) Ltd and is protected by South African and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you use our branding without our prior written consent.

9. Service Availability & Limitations

We strive to provide a reliable, high-availability service. However, we do not guarantee 100% uptime or uninterrupted access to the Service.

Scheduled Maintenance

We may perform scheduled maintenance that temporarily affects availability. We will endeavour to provide advance notice of scheduled maintenance via email or in-app notification and to schedule maintenance during off-peak hours.

Force Majeure

Tradekit shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: load shedding and power outages, natural disasters, acts of government, pandemics, internet or telecommunications failures, network outages, cyber-attacks, and disruptions to third-party services on which the Service depends.

10. Limitation of Liability

To the fullest extent permitted by South African law:

  • Tradekit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
  • Our total aggregate liability to you for any claims arising out of or related to the Service shall not exceed the total amount of fees you paid to Tradekit in the twelve (12) months immediately preceding the event giving rise to the claim.
  • Tradekit is not liable for any failures, interruptions, or limitations of third-party services integrated with the platform, including WhatsApp (Meta), PayFast, and Yoco.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable South African law.

11. Termination

Termination by You

You may cancel your subscription and close your account at any time through the Service settings or by contacting us at hello@tradekit.co.za. Cancellation takes effect at the end of your current billing period, and no refund is given for the remainder of that period — see Billing & Refunds.

Termination by Tradekit

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms or any applicable law.
  • Engage in activity that harms other users, our reputation, or the integrity of the Service.
  • Fail to pay outstanding subscription fees after reasonable notice.

Effect of Termination

Upon termination, your data is retained for 90 days in accordance with our Privacy Policy, after which it is permanently deleted. Financial records are retained for 5 years per SARS requirements. Any outstanding fees at the time of termination remain payable.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms shall be resolved as follows:

Informal Resolution

Before initiating any formal proceedings, you agree to contact us at legal@tradekit.co.za and attempt to resolve the dispute informally within a period of thirty (30) days.

Arbitration

If the dispute cannot be resolved informally, it shall be submitted to and finally resolved by arbitration in South Africa in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). The arbitration shall be conducted by a single arbitrator. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

13. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide you with at least thirty (30) days' notice before the changes take effect. Notice will be provided by email to the address associated with your account or by displaying a prominent notice within the Service.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you have the right to terminate your account before the changes take effect. Outstanding fees remain payable upon termination.
